In short

1. Who we are and what these terms cover

1.1 ScheduleOne is provided by Better Frameworks Pty Ltd, ABN 21 685 982 003, registered in Sydney, Australia ("we", "us"). You can contact us atcontact@scheduleone.com.au.

1.2 These terms apply between us and the organisation that buys ScheduleOne ("you"). The person who buys accepts these terms on behalf of that organisation and confirms they are authorised to do so.

1.3 ScheduleOne is for businesses and other organisations operating in Australia. It is not designed for personal or household use, or for government agencies.

1.4 Our Privacy policy explains how we handle personal information. It forms part of these terms.

2. The service

2.1 ScheduleOne identifies Australian legal record-keeping requirements that may apply to your organisation, based on the answers you give about it, and helps you turn them into a retention schedule and a retention and disposal policy. It also tells you when the legal requirements in its database change, and what that may mean for your schedule.

2.2 ScheduleOne's legal database is built from publicly available Australian legislation and is updated from time to time. Which jurisdictions and laws are covered at any time is shown in the app and on theCoverage page of our website, and may change as the database is updated.

2.3 We aim to keep ScheduleOne available at all times, but it may occasionally be unavailable for maintenance, updates or reasons outside our control. We will try to keep interruptions short.

3. Your account: one organisation, one login

3.1 Each subscription covers one organisation and comes with one login. The organisation's name is the one given at purchase. It appears on your schedule and policy, and only we can change it, on request.

3.2 Your login is for one person. Don't share it. If you need more people to have access, contact us. We can add extra logins for your organisation.

3.3 You must keep your login details secure, and tell us promptly if you think someone else has used them. We recommend turning on two-step verification.

3.4 You are responsible for the accuracy of the information you enter about your organisation. ScheduleOne's results depend on it.

4. Price, payment and renewal

4.1 The price is shown on our website and at checkout. It is A$1,000 plus GST for 12 months. Payment is taken in advance by card through Stripe, our payment provider. We never see or store your card details.

4.2 Your subscription renews automatically every 12 months, and the price for the next year is charged to the same card on the renewal date, unless you cancel before then (section 6). Stripe sends a reminder before each renewal.

4.3 If we change the price, we will tell you by email at least 30 days before your next renewal. The new price applies from that renewal. If you don't want to continue at the new price, you can cancel before the renewal date.

4.4 If a renewal payment fails, Stripe will try again over the following days and let you know. Your access continues while it retries. If payment still can't be taken, your subscription ends (section 6).

4.5 You will receive a tax invoice for each payment. Invoices and receipts are always available fromBilling and invoices in the app.

5. Refunds

5.1 ScheduleOne is delivered as soon as you first log in: your requirements are identified and your schedule is built in your first session. For that reason, we do not give refunds for change of mind, for choosing not to use the service, or for unused time in a subscription year, including after you cancel. The only exception is if we stop offering ScheduleOne (section 13.3).

5.2 Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded, including the consumer guarantees. If ScheduleOne has a major failure, you may be entitled to a refund or other remedy under that law.

6. Cancelling, and when access ends

6.1 You can cancel at any time from Billing and invoices in the app. Cancelling stops the next renewal. You keep access until the end of the year you have paid for.

6.2 When your subscription ends, your access ends. That happens when you cancel, when a renewal can't be paid, or when we end it under section 9.4. You will no longer be able to open your schedule, documents or the law lookup. Please download your schedule and policy before then. They are available at any time from the Documents tab.

6.3 If you renew within 12 months of your subscription ending, everything is restored as you left it, and you will see what has changed in the law in the meantime.

7. How long we keep your data

7.1 While your subscription is active, we keep your organisation's profile, selections, decisions, schedule editions and logins so that you can use the service.

7.2 After your subscription ends, we keep that data for 12 months, so that you can renew and pick up where you left off. We email you 30 days and 7 days before it is deleted. At the end of the 12 months, your organisation, its logins and everything in it are deleted automatically.

7.3 Copies held in our backups are deleted as those backups expire, within 90 days after the deletion.

7.4 We keep payment and tax records (invoices, amounts, dates) for as long as the law requires, generally five years under tax law. Stripe also keeps its own payment records, as explained in its privacy policy.

7.5 Benchmark records (section 8) are not deleted, because by then nothing links them to your organisation.

8. Anonymised benchmarks

8.1 Your schedule decisions contribute to anonymised, aggregated benchmarks, for example "most professional services firms keep client records for 7 years". We record the structured choices made in the app: the method, retention periods and start points, whether an exception or business rule was confirmed, and which requirements were included or added. Each choice is recorded with your organisation's profile bands (industry, states, type of entity, size band) and the month.

8.2 We never record your organisation's name, your logins, or anything typed in, such as notes, reasons or procedures. A benchmark figure is only shown or published when it is based on at least 5 organisations (at least 10 for anything published outside the app), so no single organisation's choices can be identified.

8.3 While you are a customer, your benchmark records carry a random code linked to your organisation, so that a changed decision replaces your earlier one rather than counting twice. When your organisation is deleted, that link is deleted with it.

8.4 If you would prefer your organisation to be left out of benchmarks, contact us.

9. Using ScheduleOne properly

9.1 You may use ScheduleOne, and the schedules, policies and other outputs it produces for your organisation, for your organisation's own internal purposes.

9.2 You must not:

9.3 We may look at how logins are used (for example, how many devices one login is used from) to help keep accounts secure and these terms respected.

9.4 If you seriously or repeatedly breach this section, we may suspend or end your subscription. Unless the breach is serious or urgent, we will first tell you and give you a reasonable chance to fix it.

10. Not legal advice

10.1 ScheduleOne provides general information and tools. It is not legal advice and does not create a lawyer–client relationship. Legal requirements are identified using automated methods with checks (for example, every quoted provision is matched against the law's text), and they may contain errors or omissions.

10.2 Whether a requirement applies to you can depend on facts ScheduleOne doesn't know. The retention periods you choose, and how you keep and dispose of records, are your organisation's decisions and responsibility. For decisions with significant consequences, check the law itself (each requirement links to its source) or get professional advice.

11. Liability

11.1 Nothing in this section limits any liability that cannot lawfully be limited, including under the Australian Consumer Law, or our liability for fraud or for death or personal injury caused by our negligence.

11.2 ScheduleOne is not of a kind ordinarily acquired for personal, domestic or household use. To the extent the law allows, our liability for a failure to comply with a consumer guarantee is limited, at our choice, to supplying the service again or paying the cost of having it supplied again.

11.3 To the extent the law allows, we are not liable for any loss of profit, revenue, opportunity or data, or for any indirect or consequential loss, however it arises. That includes loss arising from your use of, or reliance on, ScheduleOne's information, or from decisions you make about keeping or disposing of records.

11.4 To the extent the law allows, our total liability to you for all claims connected with ScheduleOne, whether in contract, negligence or otherwise, is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

11.5 Our liability is reduced to the extent that you, or circumstances outside our reasonable control, caused or contributed to the loss.

12. Intellectual property

12.1 We own ScheduleOne: the software, the legal database as compiled and classified, the methods (including the 7·7·7 method) and the templates. Your subscription gives you a licence to use them as these terms allow. It does not transfer ownership.

12.2 You own the information you enter about your organisation. The schedules and policies produced for your organisation are yours to use for your organisation, including after your subscription ends.

12.3 The text of legislation shown in ScheduleOne is publicly available law, credited to its sources on ourdata sources page.

13. Changes to the service and these terms

13.1 We improve ScheduleOne over time and may change its features, provided its core purpose stays the same.

13.2 We may update these terms, for example to reflect changes in the law or in the service. We will email you at least 30 days before a change that is materially adverse to you takes effect. Such changes apply from your next renewal, and you can cancel before then if you don't agree. Other changes take effect when we publish them here.

13.3 If we decide to stop offering ScheduleOne, we will email you at least 60 days before it closes. You keep access until then, so you can download your schedule and policy, and no further renewals are charged. We will refund the unused part of your subscription year, worked out by days, within 30 days of the closing date. Your data is then deleted as section 7 describes, counting from the closing date.

14. General

14.1 If you have a complaint or a dispute, please contact us first at contact@scheduleone.com.au. We will try to resolve it promptly and in good faith.

14.2 These terms are governed by the laws of New South Wales, Australia, and the courts of that state have jurisdiction.

14.3 If any part of these terms is invalid or unenforceable, it is read down or severed, and the rest continues to apply.

14.4 We are not responsible for delays or failures caused by events outside our reasonable control.

14.5 We will send notices to the email address of your organisation's login. You can send notices tocontact@scheduleone.com.au.
